THHE OPPORTUNITY:
Ledn is seeking a Senior Corporate Counsel to join our legal team at an exciting stage of the company’s growth. You will serve as a key legal partner across the business, leading and supporting on corporate transactional matters, debt financing matters, commercial contracting, and corporate governance, while driving Ledn’s strategic objectives in the digital asset space.
You will report directly to the Chief Legal Officer and work closely with executive leadership, Compliance, Finance, Product, and other business teams. This role requires someone who is equally comfortable setting strategy and rolling up their sleeves to get things done. The ideal candidate combines corporate legal expertise with experience in the digital asset or fintech industry, and thrives in a fast-moving, high-growth environment.
ABOUT THE ROLE:
Corporate Transactions
- Lead and support corporate transactions, including equity investments, M&A and strategic partnerships.
- Lead and manage legal due diligence processes, coordinating with internal stakeholders and external counsel as required.
- Advise on corporate structuring matters across Ledn’s multi-jurisdictional footprint, including Cayman Islands, US, Spain, UK and other key markets.
Financing and Lending Transactions
- Lead and support debt financing transactions, including institutional credit facilities and other funding arrangements, including Ledn sponsored asset-backed security facilities.
- Support Product & Regulatory Counsels on Ledn's product documentation (including retail loan agreement) to ensure legal and regulatory alignment across jurisdictions.
Commercial Contracts
- Oversee the commercial contracting process for a wide range of commercial agreements such as vendor, partner, technology, and service agreements.
- Develop and maintain standard form agreements and contract playbooks to improve consistency and efficiency across the business.
- Advise internal stakeholders on contractual risk, obligations, and commercial terms.
Corporate Governance
- Oversee and manage corporate governance matters across Ledn’s group entities, including the Cayman Islands, US, Spain and UK, working alongside local counsel in each jurisdiction
- Oversee and manage corporate records (including equity management and cap table maintenance), entity registers, and statutory filings across Ledn’s multi-jurisdictional corporate structure.
- Develop and maintain internal governance policies, frameworks, and documentation standards as the company scales.
Team & Stakeholder Collaboration
- Drive adoption of technology including AI tools and initiatives across the legal team, identifying opportunities to leverage AI to improve the quality, speed, and efficiency of legal work.
- Take a hands-on approach to legal work across the team – no task is too big or too small in a lean, high-growth environment.
- Mentor and guide junior legal team members and administrators as the team evolves.
- Manage relationships with external counsel across relevant jurisdictions, ensuring cost-effective and high-quality external legal support.
REQUIRED:
- US-admitted lawyer with a minimum of 7–10 years’ post-qualification experience (PQE) in corporate, transactional, or commercial law, currently in good standing.
- Experience working in high-growth, fast-paced, or start-up/scale-up environments.
- Excellent technology skills and a genuine interest in and aptitude for AI – you are not just comfortable using AI tools but actively seek to champion their adoption and embed them into legal team workflows.
- Demonstrated experience leading or supporting corporate transactions and debt financing transactions, including credit facilities, asset-backed facilities, or other lending arrangements.
- Strong commercial contracting skills, with experience negotiating complex agreements across a range of counterparty types.
- Experience working across multiple jurisdictions and managing multi-entity group structures and advising boards and senior leadership.
- A practical, sleeves-rolled-up approach – you are comfortable operating at a senior level while also doing the work yourself.
- Proven ability to work independently, manage competing priorities, and deliver high-quality legal work at pace.
- Excellent judgment, communication skills, and the ability to engage and influence across functions in a fast-moving international environment.
- Employment is contingent upon successful completion of applicable background checks, in compliance with federal and state law.
- Applicants must be legally authorized to work in the United States. Ledn does not currently sponsor employment visas.
PREFERRED:
- Prior in-house legal experience at a crypto, fintech, or other technology company.
- Familiarity with financial services or fintech regulatory frameworks as they intersect with corporate and commercial work.

The base salary range for this role is $190,000 – $250,000 USD, depending on experience, skills, internal equity and location.
