THE OPPORTUNITY:
Ledn is hiring a full-time, US-based Senior Product & Regulatory Counsel to help shape our product legal strategy and regulatory framework to enable our digital asset products across the US, Cayman Islands and other key markets in the Americas. Ledn operates across the US through its regulated US entity, while key markets in the Americas are serviced via its Cayman Islands VASP regulated by the Cayman Islands Monetary Authority (CIMA). The successful candidate must have the ability to navigate US federal and state frameworks, CIMA regulations, and the evolving regulatory landscape across the Americas in collaboration with external counsel.
You will serve as a trusted legal partner to Ledn’s Product and other business teams, advising on product design, new feature development, strategic partnerships and product-related commercial agreements. You will also collaborate closely with Ledn’s Compliance team to monitor regulatory developments, oversee licensing and registration efforts, and engage with regulators, with a particular focus on US federal and state frameworks.
You will report to Ledn’s Chief Legal Officer and work closely with executive leadership. The ideal candidate brings strong legal expertise in financial services regulation and/or product legal advisory, hands-on experience in the digital asset industry, and the ability to operate in a fast-evolving regulatory and product landscape.
ABOUT THE ROLE:
Product Counsel
- Serve as the primary legal partner to Ledn’s Product and other business teams, providing timely, practical legal advice on product design, new feature development, strategic partnerships and go-to-market strategies for digital asset products and services.
- Advise on the regulatory and legal implications of product decisions, ensuring new products and features are developed in a manner consistent with applicable legal and regulatory requirements across the US, Cayman Islands, and other key markets in the Americas.
- Draft, review, and negotiate a range of product-related commercial agreements, including technology, partnership, integration, and vendor agreements relevant to Ledn’s product suite.
- Partner with internal stakeholders, including Product, Compliance, Finance and Operations, to build and maintain scalable legal frameworks and guidance for product development and launch processes.
Regulatory Advisory & Strategy
- Provide legal advice to internal stakeholders on financial services and digital asset regulatory requirements across the US, Cayman Islands, and other key markets in the Americas.
- Partner closely with the Chief Legal Officer as well as the Compliance, Product, and Business teams to develop and refine Ledn’s Americas regulatory strategy and advise on regulatory implications of product design and business initiatives.
- Monitor legal and regulatory developments across key jurisdictions impacting digital assets, lending, custody, exchange and other related activities, and assess impact on Ledn’s business.
- Support expansion into new markets across the Americas by assessing regulatory feasibility and requirements.
Lead Licensing & Regulatory Applications
- Manage and coordinate external counsel on regulatory license and registration applications, primarily across the US, as well as other key markets in the Americas. In the US, these include state consumer lending licenses and other digital asset-specific licences (e.g. virtual asset or digital asset-related licensing regimes).
- Advise on and support Ledn’s FinCEN registration and BSA/AML regulatory obligations as they intersect with licensing and product strategy.
- Prepare, review, and maintain regulatory submissions and supporting documentation.
Engage Regulators & Influence Policy
- Engage with relevant regulators across the Americas, including relevant US state and federal regulators, CIMA, and other relevant bodies, on emerging regulatory developments.
- Monitor and contribute to regulatory consultations, discussion papers, and industry dialogues relevant to digital asset lending to shape Ledn’s external regulatory positioning.
- Work with internal stakeholders including Product and Compliance to assess the impact of regulatory change on Ledn's products and business strategy.
